1. Acceptance of Terms

Welcome to Uwow (the "App"), a product of Uwow Labs, Inc. ("Company," "we," "us," or "our"). By downloading, installing, accessing, or using the App, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App.

2. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the App. By using the App, you represent and warrant that you meet this eligibility requirement.

3. Description of Service

Uwow is a mobile video editing application that provides AI-powered tools for video object editing, video generation, watermark and subtitle removal, and other video processing capabilities. Results may vary based on input quality and technical limitations.

4. User Content and Responsibilities

You retain all rights to content you upload to the App ("User Content"). By uploading User Content, you represent and warrant that:

  • You own or have obtained all necessary rights, licenses, and permissions for the content;
  • Your use of the App does not infringe any third-party rights, including copyright, trademark, privacy, or publicity rights;
  • You will not use the App for any unlawful purpose or to circumvent any platform protection mechanisms.

We process User Content solely to provide the requested services and do not claim ownership of or commercially exploit your content.

5. Intellectual Property

The App, including its design, features, code, and documentation, is owned by Uwow Labs, Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the App without our prior written consent.

6. Fees and Payment

Certain features of the App may require payment, including subscription plans and usage-based fees. Specific pricing is displayed within the App. Subscriptions may auto-renew; you can manage or cancel subscriptions through your device's app store settings. Refunds are handled in accordance with the applicable app store policies (Apple App Store or Google Play).

7. DMCA and Copyright Policy

We respect intellectual property rights and comply with the Digital Millennium Copyright Act ("DMCA"). If you believe that content available through the App infringes your copyright, please send a written notice to our designated copyright agent at the contact information provided below, including:

  • A description of the copyrighted work claimed to have been infringed;
  • Identification of the allegedly infringing material;
  • Your contact information and a statement made under penalty of perjury.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UWOW LABS, INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE APP. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Nothing in these Terms excludes or limits liability for fraud, gross negligence, or any liability that cannot be excluded under applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Uwow Labs, Inc. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or related to your use of the App, your User Content, or your violation of these Terms.

10. Binding Arbitration

Any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules, rather than in court. The arbitration shall be conducted in Wilmington, Delaware. You and the Company each waive the right to a jury trial and the right to participate in a class action.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

12. Modifications

We may update these Terms from time to time. If we make material changes, we will notify you through the App or other reasonable means. Your continued use of the App after the effective date of any changes constitutes your acceptance of the updated Terms.

13. Termination

We may suspend or terminate your access to the App at any time if you violate these Terms. Upon termination, your right to use the App ceases immediately.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
